All offers, quotations and agreements relating to the sale of products and the provision of services by the Centre for Policing and Security vzw, Gouvernementstraat 1, 9000 Ghent ( BTW BE 0449.873.429) (“CPS”) are governed by the general conditions set out below (“General Conditions”).

Special conditions (“Special Conditions”) may apply to specific services or products. In each case, the Special Terms and Conditions relate to a specific service or product. Special terms and conditions take precedence over the general terms and conditions.
Modifications to and/or deviations from the special conditions and/or the general conditions are only valid if they are included in the quotation issued by the Centre for Policing and Security (CPS) or are the subject of a written agreement between the Customer (“Customer”) and the Centre for Policing and Security (CPS).
The general and/or other terms and conditions of the Customer do not apply, even if these provisions state that they are the only ones applicable.
The Centre for Policing and Security (CPS) and the Customer may individually be referred to as “Party” and collectively as “Parties”.
Unless otherwise stipulated in the offer, an offer has a validity of 30 calendar days.
Unless expressly stipulated otherwise in the general terms and conditions or in the offer, the Centre for Policing and Security (CPS)’s commitments are commitments of means. the Centre for Policing and Security (CPS) will always behave with due care within the framework of the execution of the agreement.
Any estimated end date on which an order will be delivered is provided by way of information and is therefore not binding.
The Centre for Policing and Security (CPS) guarantees to have the necessary know-how and experience to ensure the execution of the services. The Centre for Policing and Security (CPS) will only assign employees who have sufficient knowledge and experience to execute the services correctly.
Subscription products and services
The Customer who orders a structural partnership, orders for the year in question.
A structural partnership with the CPS is tacitly renewed each time for the following year, subject to termination no later than one (1) month before the end of the current year.
The Customer will receive an invoice for each year.
Non-subscription products and services
The order to participate in a training or conference is valid for a certain date and a certain location.
The Customer may cancel or, as far as possible, relocate participation in a training course by means of a written notification in accordance with the general terms and conditions. The cancellation or relocation (e.g. a different date or location) is free of charge if it occurs no later than two (2) calendar days prior to the date on which the training takes place. In case of cancellation within a period of two (2) days prior to the date on which the training takes place or if the Customer does not participate in the training, the full amount of the training remains due. The Customer may at all times be replaced by another participant within his organization at no additional cost.
The Centre for Policing and Security (CPS) is entitled to cancel a training course without being liable to pay any compensation up to two (2) days prior to the date on which the training takes place.
If the physical training cannot be offered by the Centre for Policing and Security (CPS) on the planned date due to force majeure, the Customer expressly agrees that the training can also be offered digitally (if the nature of the training would allow this) or physically at a later date. Force majeure includes: government measures that prohibit, severely restrict or strongly discourage physical meetings (e.g. due to illness or epidemic).
The termination of a structural partnership or a training or the request for relocation of participation is done by e-mail to sec@policingandsecurity.be.
The following clauses apply exclusively to Customers who are consumers.
Contrary to what is stated in article 3, the delivery takes place at the latest within a period of 30 days after placing the order, unless otherwise agreed or unless otherwise indicated during the ordering process.
The Customer does not have a right of withdrawal for service contracts after full performance of the service, if the Customer has previously expressly agreed to the performance and acknowledged losing the right of withdrawal in that case.
The Centre for Policing and Security (CPS) will invoice the services in accordance with the terms and conditions stated in the special conditions or the general conditions. If these conditions do not contain any details, the services will be invoiced in advance.
Unless expressly stipulated otherwise, all prices quoted by the Centre for Policing and Security (CPS) are in euros.
Invoices are payable no later than 30 days after the invoice date. In the event of late payment by the Customer, the Centre for Policing and Security (CPS) is entitled, ipso jure and without notice of default, to payment of interest in accordance with (a) the Law of 2 August 2002 on combating late payment in commercial transactions if the Customer is not a consumer or (b) the statutory interest rate if the Customer is a consumer, as well as a fixed compensation of 10% of the outstanding amount with a minimum of 75 euros.
Any complaint relating to an invoice must be submitted in writing to the Centre for Policing and Security (CPS) within ten (10) calendar days of receipt of the relevant invoice. After this period, any claim in this respect shall no longer be taken into account. Under no circumstances can a complaint justify the suspension of payment.
Any non-payment of an invoice on the due date shall render the invoices drawn up at that time dutiable to the Customer.
In the event of non-payment of an invoice, the Centre for Policing and Security (CPS) is entitled to suspend performance of the agreement without prior notice.
The total liability of the Centre for Policing and Security (CPS) is limited, per assignment, to an amount equal to the amounts paid by the Customer to the Centre for Policing and Security (CPS) for the assignment in question.
The Centre for Policing and Security (CPS) is not liable for indirect or consequential damage, such as (but not limited to) loss of turnover, loss of profit, loss of goodwill, loss of an opportunity, loss of or damage to data, …
This limitation of liability does not apply in case of fraud, willful misconduct or bodily injury and death caused by the fault of a Party.
The Centre for Policing and Security (CPS) remains at all times the owner of all intellectual and other property rights to all results of services provided by it, unless expressly agreed otherwise in writing.
If the Centre for Policing and Security (CPS) supplies materials from third parties to the Customer, the Customer obtains a right of use in accordance with the license applicable to such materials.
The Parties undertake to treat all confidential information of the other Party confidentially and not to disclose it to third parties, except to the extent necessary for the execution of the agreement and on condition that these third parties are bound by confidentiality obligations substantially equivalent to those contained in these general terms and conditions. The Party receiving confidential information shall only use it in the context of the assignment.
The validity of the special conditions, the general conditions or the offer shall not be affected by the nullity of one or more of their clauses. The Parties undertake to replace the clause that is declared null and void with a clause that is as close as possible to the economic intent of the clause that is declared null and void.
The non-enforcement of a right or the non-application of a sanction by one of the Parties shall in no way constitute a waiver of the right.
The titles are for information purposes only and are not intended for interpretation.
The Centre for Policing and Security (CPS) is entitled to use the agreement as a reference.
The Centre for Policing and Security (CPS) may transfer its rights and obligations arising from the agreement without the prior consent of the Customer. The Centre for Policing and Security (CPS) may appoint subcontractors for the execution of the services without prior consent of the Customer, on the understanding, however, that the Centre for Policing and Security (CPS) remains fully liable for the execution of the services by these subcontractors. Neither Party shall be liable for damage caused by failure to perform, or delay in performance of, obligations arising from acts of God, including war, riots, terrorism, attacks, strikes, social conflicts, accidents, fire, floods and telecommunications failures. The Parties will discuss in good faith how they will deal with the consequences of force majeure.
The general terms and conditions are governed by Belgian law.
All disputes arising from or relating to the agreement will be subject to the exclusive jurisdiction of the courts of Ghent. For consumers, the provisions of article 624, 1°, 2° and 4° Ger. W. continue to apply in full.
The consumer can always submit a dispute to the arbitration board via the ODR platform (http://ec.europa.eu/consumers/odr/).
